Terms of Service

General

These Terms of Service (the "Terms of Service") are the binding contract between You and OneSeed.green Inc. (hereinafter, "OneSeed", "we", "us", "our"), governing the terms and conditions under which You can participate in reforestation projects owned by OneSeed's partners (the 'Projects') through our website and any of its sub-domains (the "Website").

By using our Services, You acknowledge that You have read, understood, and agree to be bound by these Terms of Service, which may be updated from time to time. Please check back periodically for updates.

Definitions

In addition to any other terms defined in the body of these Terms of Service and in the Terms of Use, the following terms shall have the following meanings:

• "Account" means the account created by You upon registering on the Website
• "Platform" means the digital platform operated by OneSeed through the Website
• "Services" means the services provided by OneSeed through the Platform
• "Tree Credits" means the credits purchased by You to fund tree planting
• "Trees" means trees planted on Your behalf through the reforestation Projects
• "User" or "You" means any person or entity accessing or using the Platform

Services — Platform

OneSeed provides You with a Platform where You can:

• Purchase Tree Credits to fund tree planting in reforestation Projects
• Manage and track your tree planting campaigns
• View verified data and evidence of trees planted on your behalf
• Generate impact reports and certificates
• Integrate tree planting into your business operations via our APIs
• Gift trees to customers, employees, or other individuals

Tree Planting Projects

This Agreement is intended as an environmental action and therefore does not confer any right of ownership, disposition or use of the Trees or any right to the fruits or by-products thereof on You or, where applicable, Your customers, employees or partners.

OneSeed works exclusively with trusted reforestation partners who meet our strict criteria for verified, high-impact tree planting. All trees are verified using our TreeVerify® technology and data is audited to ensure each tree is incremental and not double counted.

OneSeed makes no warranty regarding the survival rate of any individual tree. Trees are planted in accordance with best practices by our reforestation partners, and survival rates are monitored over time.

Payments and Tree Credits

To contribute to the planting of trees in the Reforestation Projects, You must register on the Website and accept the Terms of Use, to create Your Account. Once the registration is completed, OneSeed offers You the following contracting modalities:

• Pay-as-you-go Tree Credits: Purchase credits as needed, with no subscription requirement
• Automatic Recharge: Set up automatic top-up when credits fall below a threshold
• Recurring Plans: Monthly or annual subscription plans for consistent tree planting

All payments are processed securely through Stripe. OneSeed does not store payment card information.

Terms and Conditions of Payment

Applicable Prices

Tree prices are as published on the Website and may vary by planting location, reflecting local cost of living and supplies. Prices are displayed in USD and may be subject to applicable taxes in your jurisdiction.

Refunds

Unused Tree Credits may be refunded within 30 days of purchase, subject to our refund policy. Trees that have already been planted cannot be refunded. For questions about refunds, contact us at info@oneseed.eco.

Duration of the Agreement

This Agreement begins when You start using our Services (when You accept these Terms). The Agreement continues until terminated by either party in accordance with these Terms.

Cancellations

Cancellation of Automatic Renewals

You may cancel automatic recharge, recurring payments, and plans at any time through your Account settings or by contacting us. Cancellations take effect at the end of the current billing period. No refunds are provided for partial periods.

Limitation of Liability

You agree to exclude OneSeed from all liability arising from or as a consequence of:

• Natural disasters, climate events, or other circumstances beyond OneSeed's control affecting reforestation projects
• Actions or omissions of third-party reforestation partners
• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, or business opportunities arising from use of the Platform

OneSeed's total liability to You in connection with these Terms shall not exceed the amounts paid by You in the 12 months preceding the claim.

Modifications

We reserve the right to update these Terms of Service at our discretion and without prior notification. Any modifications will become effective either upon being posted or on a predetermined date. Such updates will not be retroactively applied. We encourage you to check these Terms periodically for updates.

Miscellaneous

All communication between You and OneSeed will be carried out through the Platform and/or Your Account or, if applicable, by email to the contact addresses indicated by the Parties or by any means of which there is evidence of receipt.

If any provision of these Terms is found to be unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full effect.

Language, Applicable Law and Jurisdiction

If You are a consumer, the version of these Terms of Service in the language of Your country of residence will take precedence. In the absence of a version in the consumer's language or if You are not a consumer, the English version will prevail in the event of a dispute.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of competent jurisdiction in Delaware.
